Section 1 – Introduction

1.1 Policies Incorporated into Agent Agreement
These Policies and Procedures, in their present form and as amended from time to time at GWE’s discretion, are incorporated into the GWE Agent / Team Agreement. They are the terms and conditions of the Agent’s contract with GWE. It is the responsibility of each Agent to read, understand, adhere to, and ensure that he/she is aware of and operating under the most current version of these Policies and Procedures. You must also comply with the description of the Direct Sales and Affiliate Bonus Payment Plan and honour all applicable laws in the country in which you operate your GWE business. The words “company” and “GWE”, when used in these documents, refer to Global Wealth Education Ltd FT Malaysia, GWE Brunei Ltd, gwemarketing.com, .net .org and any other companies, identities, or web sites licensed to uses the GWE branding, intellectual property and Program Systems operating Globally and the term "Affiliate" “Distributor” or “Team Leader” means “Agent”. An Agent is an independent contractor, not an employee of GWE.

1.2 Purpose
The purpose of the Agent Agreement is:
• To define the relationship between GWE and the Independent Agent;
• To set standards of acceptable business behaviour;
• To assist Agents in building and protecting their business.

1.3 Changes
The Company may from time to time amend the terms and conditions of the Agent Agreement, Policies and Procedures, Bonus Payment Plan and Price List. Amendments shall be effective upon notification of the changes on the official GWE web site, by e-mail and in official GWE publications distributed to all active Agents.

1.4 Delays
GWE shall not be responsible for delays and failures in performing its obligations due to circumstances beyond its reasonable control, such as strikes, labour difficulties, riots, terrorism, war, fire, death, curtailment or interruption of a source of supply, government decrees or orders, etc.

1.5 Policies and Provisions Severable
If any provision of the Agent Agreement as it currently exists or as may be amended is found to be invalid, illegal, or unenforceable for any reason, only the invalid provision will be severed from the Agent Agreement; the remaining terms and provisions shall remain in full force and effect and shall be construed as if such invalid, illegal, or unenforceable provision never comprised a part of the Agent Agreement.

1.6 Titles Not Substantive
The titles and headings to these Policies are for reference purposes only and do not constitute, and shall not be construed as, substantive terms of the Agent Agreement.

1.7 Waiver
GWE never forfeits its right to require Agent compliance with the Agent Agreement or with applicable laws and regulations governing business conduct. Only in rare circumstances will a policy be waived, and such waivers will be conveyed in writing by the Compliance Officer or an officer of the company. The waiver will apply only to that specific case.

Section 2 – Becoming an Agent

2.1 Requirements to become a GWE Agent:
• Be at least the age of 18 or of majority in your country of residence;
• Reside in a geographic area where GWE has been approved for business;
• Read the GWE Policies and Procedures and Direct Sales Marketing Plan;
• Read and agree to accept the Agent Application and Agreement to GWE as stated on the official GWE web site Agent registration area. Pay the annual Agent License Registration fee; and
• Purchase a GWE “Financial Intelligence Kit” for a nominal cost (unless prohibited by law).
• Comply with all immigration laws governing business operations and earning an income in the country where you reside.
• As an independent contractor, assume all appropriate responsibilities for accounting for income tax, GST, insurances and the like in respect of the Agent License in the country where you reside.
• GWE reserves the right to accept or reject any application for any reason.

2.2 Financial Intelligence Kit.
No person is required to purchase GWE products to become an Agent. However, to familiarise new Agents with GWE products, services, sales techniques, sales aids, and other matters, GWE requires new Agents enrolling for the “Team” Marketing plan with Team discretionary bonuses, to purchase a Financial Intelligence Kit (FIK) except where prohibited by law. GWE will repurchase any re-saleable Financial Intelligence Kits from Agents who terminate their Agent Agreement within Fourteen (14) days of receiving their Kit, less any admin fee.

2.3 Identification and Agent Number
When GWE receives and accepts an Agent’s internet web site registration Application and Agreement, GWE will assign a unique Agent Number to that Agent. Agents must use their Agent Number whenever they call a GWE Agent Services Representative to make enquiries and track commissions and bonuses.

2.4 Temporary Enrolment
An Agent applicant may enrol over the Internet. The applicant must provide GWE with all the necessary information to complete the Agent Application and Agreement. The applicant may order a Financial Intelligence Kit at that time and make payment using Telegraphic Transfer (TT) or internet bank transfer or credit card. The Agent Application and Agreement will only be officially accepted when payments have been received and cleared into the nominated international GWE bank account. The new Agent’s temporary registration number, user ID and password will be reserved for fourteen (14) days, pending GWE's receipt of the Agent’s full payment less bank TT fees or credit card fees. Once GWE receives the full payment, GWE will assign a permanent Agent Number to the Agent and extend the initial Agent License authorisation period to one full year and a Financial Intelligence Kit will be despatched to the Agents postal address. If a customer/Agent purchases a download version of the FIK it will be available immediately upon payment acceptance and accessible through our secure Agents members’ area download page of the GWE web site.

2.5 Agent Benefits
Once GWE accepts an Agent’s Application and Agreement, the benefits of the Direct Sales Marketing Plan and the Agent Agreement are available to the new Agent. These benefits include the right to:
• Purchase GWE products and services at the Agent price;
• Participate in the GWE Direct Sales Marketing Plan (receive commissions and bonuses, if eligible);
• Sponsor other individuals as Agents into the GWE System Program;
• Receive GWE literature and other GWE communications;
• Participate in GWE-sponsored support, service, training, motivational, and recognition functions upon payment of appropriate charges, if applicable;
• Participate in promotional and incentive contests and programs sponsored by GWE for its Agents.
• Agents may retail GWE products or services and profit from these sales.

2.6 Renewal of Agent License
GWE charges Agents an annual Agent License renewal fee of US$99.00 GWE will automatically charge the fee to the Agent’s personal on line GWE web account, credit card or nominated bank account on file with GWE on the anniversary date of the Agent’s application. Agents without funds in their on line GWE account, a credit card or nominated bank account must renew by Internet bank transfer, Telegraphic Transfer (TT) to GWE. The annual renewal fee will:
• Automatically renew your subscription to GWE publications;
• Renew your Agent Agreement License and maintain your line of sponsorship; and
• Continue your entitlement to participate in GWE’s Marketing System Program; purchase GWE products; enjoy GWE service support programs; participate in company promotions, contests, and recognition; and attend Company events.

Section 3 – Operating a GWE Agent License

3.1 Actions of Household Members or Affiliated Individuals
If any member of an Agent’s immediate household engages in any activity which, if performed by the Agent would violate any provision of the Agent Agreement, such activity will be deemed a violation by the Agent.

3.2 Adherence to the GWE Direct Sales Marketing Plan
Agents must adhere to the terms of the GWE Direct Sales Bonus Payment Plan as set forth in official GWE literature and web site. Agents shall not offer the GWE opportunity through, or in combination with, any other opportunity or unapproved method of marketing. Agents shall not require or encourage other current or prospective Agents to participate in GWE in any manner that varies from the program as set forth in official GWE literature and web site. Agents shall not require or encourage other current or prospective Agents to execute any agreement or contract other than official GWE agreements and contracts in order to become a GWE Agent. Similarly, Agents shall not require or encourage other current or prospective Agents to make any purchase from, or payment to, any individual or other entity to participate in the GWE Direct Sales Bonus Payment Plan, other than those purchases or payments identified as recommended or required in official GWE literature or web site.

3.3 Advertising

3.3.1 In General
Agents must avoid all discourteous, deceptive, misleading, illegal, unethical, or immoral conduct or practices in their marketing and promotion of GWE, the GWE opportunity, the Direct Sales Marketing Plan, and GWE’s products. All Agents may only use sales aids and support materials produced or currently approved by GWE. Sales, marketing, and support materials include, but are not limited to, training and recruiting information, brochures, flyers, pamphlets, posters, postcards, letters, classified advertisements, etc. promoting GWE’s products and programs, as well as e-mail messages, voice mail message recordings, and Internet Web sites used to publicise GWE, its products, services, or Direct Sales Marketing Plan. Any GWE Licensed Agent who desires to create his/her own promotional and marketing materials must submit a copy of the proposed materials to GWE for review and approval before, he/she may use the information to promote his/her business or the GWE opportunity. Upon receipt of the proposed promotional material, GWE will review the information to determine the appropriateness of the material’s form and content. GWE’s review of the proposed promotional material may be subject to a review fee at the discretion of GWE. GWE will promptly notify the Agent in writing regarding the Company’s decision to approve or disapprove the material for use in promoting and supporting his/her GWE business activities. GWE Licensed Agents may only use those sales, marketing, and support materials that GWE has expressly approved.

3.3.2 Television and Radio
Agents may not advertise on television and radio under policy 3.3.1 except with GWE’s express written approval.

3.3.3 Media Inquiries
Agents must refer all media inquiries regarding GWE to the GWE Compliance Department. This will ensure that accurate and consistent information reaches the general public.

3.3.4 Trademarks and Copyrights
• An Agent may not use the GWE trademark or trade name or corporate logo to promote their independent business. Rather, they must use the words “Independent GWE Agents” with all logo’s to promote their business. A reproducible copy of the logo can be obtained from GWE. However, this logo may only be used on personal stationery and specifically approved literature but not on clothing, signage, or motor vehicles.
• Agents may describe themselves as an “Independent GWE Agents” in the business pages of the telephone directory.
• Agents should not answer the telephone in any manner that might indicate or suggest that the caller has reached a GWE corporate office.
• Agents may not record or reproduce materials from any GWE corporate function, event, speech, etc.
• Agents may not record, reproduce, or copy any presentation or speech by any GWE spokesperson, representative, speaker, officer, director, or other Agents.
• Agents may not reproduce or copy any recording of a GWE produced media presentation including audio tapes, videotapes, CDs, etc. unless those that are approved available for reproduction on the GWE approved web site.
• Agents may not publish, or cause to be published, in any written or electronic media, the name, photograph or likeness, copyrighted materials, or property of individuals, Agent’s with GWE without express written authorisation from the individual and/or GWE.
• Agents may not publish, or cause to be published, in any written form or electronic media, the copyrighted materials or property of GWE, without express written authorisation from GWE.

3.3.5 Use of Agent Name, Likeness, and Image
Agent consents to GWE’s use of his/her name, testimonial (or other statements about GWE, its products or opportunity in printed or recorded form, including translations, paraphrases, and electronic reproductions of the same), and image or likeness (as produced or recorded in photographic, digital, electronic, video or film media) in connection with advertising, promoting, and publicising the GWE opportunity or products, or any GWE-related or -sponsored events.

3.4 Agent Claims and Representations

3.4.1 Product Claims.
GWE Agents may not make claims that GWE products such as the VASTA. “Vision” Personal Development Mind Training Seminar, “Awareness” seminar, “Strength” seminar and all and any VASTA. seminars, or associated seminars, workshops, introductory talks or programs presented at any GWE conferences have therapeutic or curative properties except those contained in official VASTA. literature. In particular, no Agents may make any claim that GWE or VASTA. products are useful in the cure, treatment, diagnosis, mitigation, or prevention of any diseases. Such statements can be perceived as medical or drug claims. Not only are such claims violative of the Agent Agreement, they may also violate the laws and regulations of certain countries and jurisdictions. Agents undertake to use the knowledge and information imparted by VASTA. strictly in accordance with the law.  In particular, and without limiting the generality of the foregoing, Agents undertake not to use such knowledge and information for therapeutic purposes except in strict accordance with the law for the time being applying to medical and paramedical practice and practitioners. GWE Agents indemnify VASTA. and GWE, its servants, agents and authorised representatives, and will hold such parties indemnified against any liability which may arise out of or be in any way related to any intentional or unintentional misuse or abuse of such knowledge and information, whether upon themselves or others. Agent’s further undertake that they will not disclose or divulge, directly or indirectly, to any other person or persons the contents or substance of the course of instruction given by VASTA. or GWE and understand the aforesaid course material and content to be the trade secrets of VASTA. or GWE which must be imparted to students only by its duly authorised instructors.  Agents are aware that they are not licensed to offer legal, financial, investment or taxation advice on behalf of the company. Furthermore, as GWE Agents, you will strongly advise any intending purchaser to seek independent advice on these matters from suitably qualified professionals prior to acting on any information contained in the products, materials, services or conferences of GWE. Agents agree that in relation to the marketing of the GWE Education Conferences and any GWE Programs products or services, you will not make any offer or invitation in relation to any securities which would breach any Corporations Law. You warrant that you will not offer any securities in any jurisdiction or sell any securities in any jurisdiction to any person to whom it would be unlawful to make such an offer.

3.4.2 Income Claims
Agents may not make income projections or claims or disclose their GWE income (including the showing of cheques, copies of cheques, or bank statements) when presenting or discussing the GWE opportunity or Direct Sales Marketing Plan, except as set forth in official GWE literature.

3.5 Commercial Outlets
Agents may display and retail GWE products in commercial outlets, however Agents are contracted to sell products directly to end consumers, not wholesale them to third party retail outlets.

3.6 Unauthorised Recruiting
As an independent contractor, GWE Agents may participate in other direct selling or network marketing or multiStage marketing ventures (collectively, “multiStage marketing”), and Agents may engage in selling activities related to non-GWE products and services, if they desire to do so. Although an Agent may elect to participate in a multiStage marketing opportunity, he/she is prohibited from unauthorised recruiting activities, which include the following:
• Recruiting or enrolling GWE customers or Agents for any multiStage marketing business ventures, either directly or through a third party. This includes, but is not limited to, presenting or assisting in the presentation of other multiStage marketing business ventures to any GWE Customer or Agent, or implicitly or explicitly encouraging any GWE Customer or Agent to join other business ventures. It is a violation of this policy to recruit or enrol a GWE Customer or Agent for any multiStage marketing business, even if the Agent does not know that the prospect is also a GWE Customer or Agent;
• Producing any literature, tapes, or promotional material of any nature for any multiStage marketing business which is used by the Agent or any third person to recruit GWE Customers or Agents for that business venture;
• Selling, offering to sell, or promoting any competing products or services to GWE Customers or Agents. Any product or services in the same generic category as a GWE product or service is deemed to be competing.
• Offering GWE products or promoting the GWE  Bonus Payment Plan in conjunction with any non-GWE business plan, opportunity, product, or incentive;
• Offering any non-GWE products or opportunities in conjunction with the offering of GWE products or business plan or at any GWE meeting, seminar, launch, convention, or other GWE function; or
• Where a prospective Agent or Preferred Customer accompanies an Agent to a GWE meeting or function, no other GWE Agent may recruit the prospect to enrol in GWE or any multiStage marketing business for a period of fourteen (14) days or unless and until the Agent who brought the prospect to the function advises the other GWE Agent that the prospect has elected not to enrol in GWE and that the Agent is no longer recruiting the prospect to enrol in GWE, whichever occurs first. GWE will immediately cancel the Agent License of any Agent who violates this provision. Violations of this policy are especially detrimental to the growth and sales of other Agents’ GWE businesses and to GWE’s business.

3.6.1 Post Cancellation Solicitation Prohibited
A former Agent shall not directly or through a third party solicit any GWE Agent or Customer to enrol in any direct sales, network marketing, or multiStage marketing program or opportunity for a period of one (1) year after the cancellation of an individual or entity’s Agent Agreement. This provision shall survive the expiration of the Agent’s obligations to GWE, pursuant to the Agent Agreement.

3.6.2 Sales Team Genealogy Reports
The GWE Sales Team Genealogy Reports are confidential and contain proprietary business trade secrets. An Agent may not use the reports for any purpose other than for developing their GWE business. Where an Agent participates in any multiStage marketing ventures, he/she is not eligible to have access to Sales Team Genealogy Reports. The Agent and GWE agree that, but for this agreement of confidentiality and nondisclosure, GWE would not provide Sales Team Genealogy Reports to the Agent. During any term of the Agent Agreement and for a period of five (5) years after the termination or expiration of the Agent Agreement between Agent and GWE, for any reason whatsoever, an Agent shall not, on his/her own behalf or on behalf of any other person, partnership, association, corporation, or other entity:
• Disclose any information contained in the reports to any third party;
• Use the reports to compete with GWE; or
• Recruit or solicit any Agent or Customer listed on the reports to participate in any multiStage or network marketing ventures. This provision shall survive the termination or expiration of this Agreement.

3.7 Corporation, Partnerships, and Trusts
A corporation, partnership, or trust (collectively referred to in this section as an “Entity”) may apply to be a GWE Agent by submitting its Certificate of Incorporation, Partnership Agreement, or trust documents (these documents are collectively referred to as the “Entity Documents”) to GWE along with a properly completed Corporation, Partnership Registration Form. An Agent License may change its status under the same sponsor from an individual to a partnership, corporation, or trust, or from one type of entity to another. To do so, the Agent(s) must provide the entity documents and a properly completed Agent Application and Agreement and the appropriate registration details. The Corporation, Partnership Registration Form must be signed by all of the directors, shareholders, partners, trustees, or other individuals having ownership interest in the business. Members of the entity are jointly and severally liable for any indebtness or other obligations to GWE. As set forth in Section 3.13, no individual may participate directly or indirectly in more than one Agent License. It is the responsibility of those persons involved in the Entity to conform to the laws of the state in which their Entity is formed. GWE reserves the right to approve or disapprove any Agent Application and Agreement submitted by an Entity. For the purpose of recognition and rewards, GWE will only recognise a maximum of two persons in the Entity. The Entity must nominate each year, at its Agent License renewal time, the two nominees who may be the recipients of any recognition, rewards, trips, and the like which the entity becomes entitled to participate in.

3.8 Deceptive Practices
Agents must fairly and truthfully explain the GWE products, opportunity, Direct Sales Marketing Plan, and Policies and Procedures to prospective Agents. This includes:
• Being honest and thorough in presenting material from the GWE Direct Sales Marketing Plan to all potential Agents;
• Making clear that income from the GWE Direct Sales Marketing Plan is based on product sales and not merely on sponsoring other Agents;
• Making estimates of profit that are based on reasonable predictions for what an average Agent would achieve in normal circumstances;
• Representing that past earnings in a given set of circumstances do not necessarily reflect future earnings;
• Not misrepresenting the amount of expenditure that an average Agent might incur in carrying on the business;
• Not misrepresenting the amount of time an average Agent would have to devote to the business to achieve the profit estimated, and not stating that profits or earnings are guaranteed for any individual Agent;
• Never stating or inferring that you will build a Sales Team for anyone else;
• Never stating that profits or earnings are guaranteed for an individual Agent; and
• Never stating that any consumer, business, or government agency has approved or endorsed the GWE products or its Bonus Payment Plan.

3.9 Independent Contractor Status
Agents are independent contractors and are not purchasers of a franchise or business opportunity. The agreement between GWE and its Agents does not create an employer/employee relationship, agency, partnership, or joint venture between the Company and the Agent. All Agents are responsible for paying their own income and employment taxes. Agents will not be treated as employees for any purpose including, but not limited to, workers compensation, superannuation, or insurance. Each Agent is encouraged to establish his/her own goals, hours, and methods of sale, as long as he/she complies with applicable laws and the terms and conditions of the Agent Agreement.

3.10 Insurance
Business Pursuits Coverage. You may obtain insurance coverage for your business activities.

3.11 International
Agents may sell and promote GWE’s products, opportunity, and services or recruit or enrol any potential Agent or customer only in countries in which GWE is approved for business, as announced in official GWE communications. If an Agent desires to conduct business in an authorised country other than the one in which they are an Agent, he/ she must comply with all the applicable laws and regulations for that country.

3.12 Adherence to Laws and Ordinances
You must obey all laws that apply to your business.

3.13 One Agent License
An Agent may operate, receive bonuses from, or have an ownership interest, legal or equitable, as a sole proprietorship, partner, shareholder, trustee, or beneficiary, in only one GWE Agent License. Your spouse or de-facto spouse, dependent children or related family members may own or operate separate Agent Licenses or purchase the GWE Family Trio package which contains 3 Agency licenses.

3.14 Repackaging and Relabelling Prohibited
Agents may not relabel or alter the labels, printing, description or content on any GWE products, information, materials, or programs in any way. Agents may not repackage any GWE products. GWE products must be sold in their original form only.

3.15 Sale, Transfer, or Assignment of Agent License
An Agent may not sell, transfer, or assign their Agent License rights to any person or entity without GWE’s express written approval. To obtain approval, you must:
• Be an Agent in good standing as determined by GWE in its sole discretion.
• Before any transfer will be approved by GWE, any debt obligations the selling Agent has with GWE must be satisfied.
• The transferring Agent must be in good standing and not in violation of any of the terms of the Agent Agreement or these Policies and Procedures, to transfer his/her Agent License.
• The combining of Agent Licenses is not permitted. GWE will not approve the transfer of an Agent License to any individual or Entity that is a current Agent or who has an ownership interest in any Agent License. Similarly, GWE will not approve the transfer of an Agent License to any individual or Entity that has previously had any ownership interest, in, or operated, a GWE Agent License.
• No individual Team leader Business Centres may be transferred separately from the Agent License. If an Agent wishes to transfer his/her Agent License, all Team genealogy must be included in the transfer.
• The transferring Agent must notify the GWE Compliance Department of his/her intent to transfer the Agent License by completing and submitting a signed Transfer of Agent Application Form. No changes in line of sponsorship can result from the transfer of an Agent License.
• The transferee must be eligible to become a GWE Agent and be acceptable to GWE in every respect.

3.16 Separation of an Agent License
If Agents wish to dissolve their jointly held Agent License, they must do so in such a way as to not disturb the income or interests of their Sponsor and Team. Agents should consider the following when deciding whether or not to dissolve a jointly held Agent License:
• If a jointly owned Agent License is dissolved, anyone of the joint owners may operate the Agent License, but the other joint owners must relinquish their rights to, and interests in, the Agent License.
• GWE cannot divide a Team, nor can it split commission or bonuses between the joint owners.
• If a jointly owned Agent License is dissolved, the individual(s) who relinquished ownership in the original Agent License may apply as new Agents under any Sponsor but may not purchase or join an existing Agent License.

3.17 Succession
If an Agent dies or becomes incapacitated, his/her rights to commissions, bonuses, together with all Agent responsibilities, will pass to his/her successor(s). Upon death or incapacitation, the successor(s) must present the GWE Compliance Department with proof of death or incapacitation, along with proof of succession, such as a Grant of Probate or an Enduring Power of Attorney, and a properly completed Agent Application and Agreement. You may inherit and retain another Agent License even though you currently own or operate an Agent License. A non-Agent who acquires an Agent License through succession must properly completed Agent Application and Agreement.

3.18 Taxes
GWE Agents must comply with all relevant taxation legislation. Agents should seek professional advice from their own accountant or tax advisor as to how to keep proper business records and account for any other tax aspects of their independent business. Agents’ GWE income may be subject to income tax and so must be properly accounted for in annual income tax returns.

3.19 Telephone and E-Mail Solicitation
The use of any automated telephone solicitation equipment in connection with the marketing or promotion of GWE, its products, or the GWE opportunity is strictly prohibited. The use of “boiler-room” telemarketing operations to sell products or services over the telephone, or to recruit Agents, is strictly prohibited. Agents are also forbidden from sending unsolicited e-mail messages or “spamming” to sell products or to recruit Agents. Agents should also make themselves familiar with relevant privacy legislation.

3.20 Territories
There are no exclusive territories for marketing GWE products or services, nor shall any Agent imply or state that he/she has an exclusive territory to market GWE products or services.

3.21 Trade Shows and Expositions
Agents may display and/or sell GWE products at trade shows and expositions, but may not display or sell GWE products at swap meets, garage sales, flea markets, or farmers’ markets as these events are not conducive to the image GWE wishes to portray. GWE cannot supply inventory on consignment to Agents operating stands at such events. All literature displayed at the event must be official GWE literature and must clearly identify the individual(s) as Independent Agents.

3.22 Transfer of Sponsorship

3.22.1 Conflicting Enrolments
Every prospective Agent has the ultimate right to choose his/her own Sponsor. As a general rule, the first Agent who does meaningful work with a prospective Agent is considered to have first claim to sponsorship. Basic tenets of common sense and consideration should govern any dispute that may arise. In the event that a prospective Agent or any Agent on behalf of a prospective Agent, submits more than one Agent Application and Agreement to GWE, listing a different Sponsor on each, the Company will only consider valid the first Agent Application and Agreement that it receives, accepts, and processes. If there is any question concerning the sponsorship of an Agent, the final decision will be made by GWE.

3.22.2 Cross-line Raiding
GWE will not permit any change in the line of sponsorship except in the following circumstances:
• Where an Agent has been fraudulently or unethically induced into joining GWE.
• Where an incorrect placement was made due to an Agent error, a change in the line of sponsorship can be made to correct the error where a request for a change is made within 7 days of enrolment. If you make such a request, you must also submit the written consent of your Sponsor and that person’s Sponsor along with the required placement change fee. If at the time of the request you have any Sales in place, no change will be permitted in the line of sponsorship. In the event that such a change is approved, commissions and bonuses earned will be adjusted accordingly. In no case will a change of placement be approved where a signed application has not been received by GWE.
• If you terminate your Agent License in writing you may rejoin under the Sponsor of your choice after a period of one (1) month. In the event you terminate your Agent License, you forfeit all rights, bonuses, and commissions under your previous line of sponsoring. You may not avoid compliance with this policy through the use of assumed names, corporations, partnerships, trusts, spouse names, fictitious ID numbers, etc.
• Cross-line raiding is strictly prohibited. "Cross-line raiding" is defined as the enrolment or attempted enrolment of an individual or Entity that already has a current Agent Agreement on file with GWE. The use of trade names, assumed names, corporations, partnerships, trusts, spouse names, fictitious ID numbers or any other vehicle to circumvent this policy is prohibited. Agents may not demean, discredit, or invalidate other GWE Agents in an attempt to entice another Agent to become part of the first Agent’s Sales Team Organisation.

Section 4 – Responsibilities of Agents and Sponsors

4.1 Ongoing Supervision, Training, and Sales
Any Agent who sponsors another Agent into GWE must train the new Agent in product knowledge, effective sales techniques, the Bonus Payment Plan, and the Policies and Procedures. Agents must also supervise and monitor Agents to ensure they conduct business professionally and ethically, promote sales properly, and provide quality customer service. As an Agent progresses through the various Stages of leadership, his/her responsibilities are to train and motivate Sales Agents.

4.2 Non-disparagement
In setting the proper example for their Teams, Agents must not disparage other GWE Agents, GWE’s Products, the Bonus Payment Plan, or the Company’s employees. Such disparagement constitutes a material breach of these Policies and Procedures.

4.3 Holding Applications or Orders
All Agents must process any applications they receive from Customers by the next business day after which the applications are received on the web site registration area.

4.4 Reporting Policy Violations
Agents should report any observed violations of a policy violation to the GWE Compliance Department.

Section 5 – Sales Requirements

5.1 Product Sales
The GWE Direct Sales Marketing Plan is based upon the sale of GWE products and services to end consumers. There are no set required sales numbers for direct sales made by individual agents. GWE Agents have 2 ways to earn commissions, personally sponsored Direct Sales which entitle the Agent to earn a sponsor commission for each personal direct sale and the Company Profit Sharing Team System.
• An Agent who elects to participate in the Company Profit Sharing Team System must achieve the required number of allotted sales points for each Stage as set out in the company commission payment plan, posted on the official GWE Marketing web site.
• Commissions on all individual personal sales, or other commissionable products earned by the Agent are payed at the completion of the warranty period of 14 days. Team Sales commissions, are paid to each Team Leader at the completion of each Target Stage, (as stated in the GWE web site Commission plan section) into the Agents personal GWE account. Commissions can only be payed when the last sale of any Target Stage has completed the warranty period of 14 days. Agents will have the commission payed to their nominated bank account upon request, administration fees and bank charges will apply. Commissions can only be payed when the last sale of any Sales Target Stage has completed the warranty period of 14 days.

5.2 Retail Customer Sales
Agents may sell GWE products only at the recommended retail price as set by GWE and listed on the official GWE web site price list.

5.3 Purchases of Inventory
Agents are not required to carry inventory of products or sales aids other than the initial Financial Intelligence Kit and promotional sales aids needed to operate a successful business. Each Agent must make his/her own decision with regard to these matters.

5.4 Deposits
No monies should be paid to or accepted directly by Agents for a sale. All monies for purchases should be made by the customer and paid directly to GWE using credit card or direct internet bank transfer, bank draft, Telegraphic Transfer and a copy of the payment receipt to be sent to GWE as set out on the GWE web site instructions.

Section 6 – Bonuses and Commissions

6.1 Bonus and Commission Cycles
Vision team commissions are available for withdrawal after the completion of Level 4. Full member Team 1 - 4 onwards commission are available for withdrawal at completion of any level. GWE pays commissions to your GWE web account and upon request will send the requested funds to your nominated bank account within (30) working days after the expiration of the warranty period of the last sale of the commission Target Stage. Commissions can only be payed when the last sale of any Target Stage has completed the warranty period of 14 days. An Agent must review his/her commissions and report any errors or discrepancies to GWE within ten (10) days from the date of the commission payment. Errors or discrepancies which are not brought to GWE's attention within the 10 day period will be deemed waived by the Agent.

6.2 Gift Certificates Purchase of GWE products. Agents who register with Gift Certificates using commission credit must pay the nominated US$ cash component of the GWE Kit purchase to GWE Ltd using Wire Transfer (TT) or Credit Card.

6.3 Adjustment of Bonuses and Commissions
Agents earn commissions and bonuses based on product sales to End Consumers. Accordingly, GWE will adjust commissions and bonuses earned from any sale when the Agent or any other end consumer returns the sold product for a refund. GWE will deduct the sales commission attributable to the returned product from the Sponsors Agent’s group volume within the first two (2) weeks after the refund is given. Refunds are not permitted on GWE Conference sales, or exchanged or credited for cash in the case of a conference bonus, however a customer can elect to complete the conference at a later time or transfer the conference to another family member with the written permission and authorization from GWE.

6.4 Loss of Rights to Commissions
You must be an active licensed Agent and in compliance with the terms of this Agent Agreement to qualify for commissions and bonuses.

6.5 Claiming Commissions
It is the Agents responsibility to monitor their progress of commission and bonus due on their secure personal GWE replicated web site and use the system withdrawal request feature for commissions to be transferred to their Bank account.

Section 7 – Merchandising Product Guarantees, Returns.

7.1 Merchandising Product Exchange Guarantee
GWE warrants the quality of its products and shall exchange any defective product. Anyone returning a damaged or defective product must complete the Agent Product Exchange or Return Form, available from GWE Admin.

7.2 Fourteen (14) Day Return Policy.

7.2.1 Retail Customers
GWE obligates its Agents to honour the Company’s, 14 - day, money-back guarantee to all Retail Customers. If for any reason a Retail Customer is dissatisfied with any GWE merchandising product, he/she may return the product to the Agents from whom the product was purchased or if purchased through the GWE web site return the goods directly to GWE, within Fourteen (14) days from the date of delivery for a replacement, exchange, GWE will refund the purchase price less any admin fees. The Agent / customer should complete a Customer Product Return Form and forward the form along with the original sales receipt and returned merchandise to GWE within ten (10) days of the Customer’s return. GWE will then replace the returned merchandise with like product and ship it to the Agents or customer or refund the purchase price.

7.2.2 Agents
GWE will refund the purchase price of the Financial Intelligence Kit and all products purchased as part of the Agent’s initial order provided the Financial Intelligence Kit and products are re-saleable. The cancelling Agent must return the products and the entire Financial Intelligence Kit to GWE, shipping prepaid, along with a letter explaining that he/she wishes to terminate his/her Agent License and receive a refund. The return constitutes a Voluntary Cancellation of his/her Agent Agreement. GWE may deduct from the amount of the refund any commissions or bonuses the Agent may have received as a result of the products that he/she is returning.

7.3 Procedures for All Returns
To receive a refund, exchange, or replacement on merchandising products purchased an Agent must:
• Obtain a Return Number (RTNs#) from the GWE Agent Services Department. This number must accompany all returned products;
• Return the product with the original confirmation of order to GWE;
• Use proper shipping carton(s) and packaging materials to return the product to GWE. The Agent / customer is responsible for tracing their return shipment should that be necessary.
If an Agent returns product from a Retail Customer, he/she must:
• Send the product to GWE within ten (10) days of the customer’s return. The package must be accompanied by a completed Customer Product Return Form, a copy of the original sales receipt.
• Only the Agent who ordered the product from GWE may return it.
• GWE is not liable for items lost in transit.

Section 8 – Dispute Resolution and Disciplinary Proceedings

8.1 Disputes Between Agents

8.1.1 Grievances and Complaints
When an Agent has a grievance or complaint with another Agent regarding any practice or conduct in relationship to their respective GWE businesses, the complaining Agent should first discuss the problem with the other Agent. If this does not resolve the problem, the complaining Agent should report the problem to his/her Sales Team Leader or sponsor, to resolve the issue at a local Stage. If the matter cannot be resolved, it must be reported in writing to the GWE Compliance Department. The Compliance Department will review the complaint and make a final decision. The complaint should identify specific instances of alleged improper conduct and, to the extent possible, identify the relevant dates on which the event(s) complained of took place, the location(s) where they occurred, and all persons who have firsthand knowledge of the improper conduct.

8.1.2 Compliance Department Review
Upon receipt of a written complaint, the GWE Compliance Department will investigate the matter, review the applicable policies, and render a decision on how the dispute shall be resolved. The Compliance Department may also issue disciplinary sanctions consistent with the provisions of Section 8.3.

8.2 Disputes Between GWE and Agents

8.2.1 Mediation and Arbitration
All unresolved disputes and claims relating to GWE, its Direct Sales Marketing Bonus Payment Plan, its Products, the rights and obligations of its Agents and GWE, or any other claim or cause of action relating to product purchase(s) or performance, either of an Agent or of GWE under the Agent Agreement, shall first be put before a mediator acceptable to both parties for resolution. Each party shall bear its own costs in the mediation. Should mediation fail to resolve the dispute then it shall be put before arbitration. Each party to the arbitration shall be responsible for their own costs, including legal and filing fees. This agreement to mediate and, failing mediation, arbitrate, will survive any cancellation or expiration of the Agent Agreement. Nothing in these Policies and Procedures shall prevent GWE from applying to and obtaining from any court having jurisdiction a writ of attachment, temporary injunction, preliminary injunction, permanent injunction, or other available relief to safeguard and protect GWE’s interest prior to, during, or following the filing of any arbitration or other proceeding, or pending the rendering of a decision or award in connection with any arbitration or other proceeding. The existence of any Agent claim or cause of action against GWE does not preclude GWE from enforcing the Agent’s covenants and agreements contained in the Agent Agreement.

8.2.2 Jurisdiction, Venue, and Choice of Law
The jurisdiction and venue of any matter pursuant to this agreement shall reside, according to the country in which the company of GWE Ltd has its registered office, or GWE at its discretion, may elect to use the country where the Agent opened his/her business.

8.3 Disciplinary Actions
Violation of any of the terms and conditions of the Agent Agreement, or any illegal, fraudulent, deceptive, or unethical business conduct by an Agent, may result, at GWE's discretion, in one or more of the following sanctions:
• A written warning, clarifying the meaning and application of a specific policy or procedure, and advising that a continued breach will result in further sanctions;
• Probation, which may include requiring an Agent to take remedial action and will include follow-up monitoring by GWE to ensure compliance with the Agreement;
• Withdrawal or denial of an award or recognition, or restricting participation in GWE-sponsored events for a specified period of time or until the Agent satisfies certain specified conditions;
• Suspension of certain privileges of Agent License, including but not limited to placing a product order, participating in GWE programs, progressing in the Direct Sales Marketing Plan, or participating as a Sponsor (including participating as an International Sponsor), for a specified period of time or until the Agent satisfies certain specified conditions;
• Withholding commissions or bonuses for a specified period of time or until the Agent satisfies certain specified conditions;
• Imposing fair and reasonable fines or other penalties in proportion to actual damages incurred by GWE and as permitted by law; and/or
• Terminating an Agent License.

Section 9 – Ordering

9.1 Ordering Methods
Agents may place orders only through the Internet. Payments must be made by Electronic Funds Transfer, credit card, or gift certificates from the Agents online account. Fax a copy of the Electronic Funds Transfer receipt to GWE.

9.2 General Order Policies
On orders with invalid or incorrect payment, for example, where funds made by Electronic Funds Transfer or International TT arrive into the GWE nominated bank account less the customer bank and transaction fees and are charged to GWE, the order will not be processed.  Customers are responsible for all bank transaction fees and payment to GWE must arrive less bank charges and fees. GWE will attempt to contact the Agent by telephone and/or mail to try to obtain the balance of payment. If these attempts are unsuccessful after five (5) working days, the order will be unprocessed. No C.O.D. orders will be accepted. GWE maintains no minimum order requirements. Orders for products and sales aids may be combined.

9.3 Purchasing GWE Products
Each Agent must purchase his/her products directly from GWE in order to receive the sales commissions for any purchase.

9.4 Shipping Discrepancies and Damage Claims
Failure to notify GWE of any shipping discrepancy or damage within thirty (30) days of shipment will cancel an Agent’s right to request a correction. Follow the procedure for correcting a shipping discrepancy or damage claim as outlined on the Agent Product Exchange or Return Form.

Section 10 – Payment and Shipping

10.1 Methods of Payment
All forms and authorisations must be accompanied by the Agent’s signature.

10.2 Electronic Funds Transfer, (TT) Telegraphic Transfer
Make payable to GWE for the full amount of your order, including shipping and handling charges. Same conditions as section 9.2 by Electronic Funds Transfer or TT.

10.3 Credit Cards
GWE accepts credit card payments through its own credit card gateway and various services as listed on the GWE web site. The GWE system is secured against chargeback’s fraud and any chargeback’s attempts will result in cancellation of an Agents license immediately.

Section 11 – Agent Services

11.1 Changes to the Agent License
Each Agent must immediately update all changes to the information contained on the Agent Application and Agreement, when applicable, by logging on to their personal web site office and making the necessary changes to their account and personal profile information.

11.2 Sales Team Genealogy Reports and Commission Statements

11.2.1 Sales Team Genealogy
Sales Team Genealogy Reports may be viewed on request in the Agents personal GWE replicated web site. Sales Team Genealogy contains trade secret information which is proprietary to GWE. Refer to section 3.6.2 for restrictions on using these reports. Genealogy Reports are updated automatically as Sales Team customers and Agents are entered and registered into the system.

11.2.2 Commission Statements/Tax Invoices
Commission Statements/Tax Invoices are viewable and available for all active Agents on the Agents personal GWE web site office.

11.3 Errors or Questions
In the event an Agent has questions about or believes that any errors have been made regarding commissions, bonuses, Sales Team Genealogy Reports, orders, or charges, the Agent must notify GWE within ten (10) working days of the date of the purported error or incident in question. GWE will not be responsible for any error, omission, or problem not reported within ten (10) working days.

11.4 Resolving Problems
If you have any questions regarding shipments, orders, commissions and bonuses, or the Direct Sales Marketing Plan, please write or call the Agent Services Department.

Section 12 – Inactivity and Cancellation Policies

12.1 Inactivity
There is no specific inactivity time period or Personal Sales Volume requirements specified in the GWE Marketing Plan. An Agent must renew their License each year and be registered as a GWE agent to participate in the GWE Direct sales and Team program, failure to do so will result in cancellation of their Team business centre and all privileges.

12.2 Involuntary Cancellation
An Agent’s violation of any of the terms of the Agent Agreement, including any amendments which may be made by GWE in its sole discretion from time to time, constitutes a material breach of the Agent Agreement and may result, at GWE’s option, in any of the Disciplinary Actions listed in Section 8.3, including cancellation of his/her Agent License. Involuntary Cancellation of an Agent License will result in the Agent’s loss of all rights to his/her Sales Team and any bonuses and commissions generated thereby. An Agent whose Agreement is involuntarily cancelled shall receive commissions only on personal direct sales made by the Agent and still owed without bonuses and only up to the last full calendar week prior to termination. When an Agent License is involuntarily cancelled, the Agent will be notified by certified mail at the address on file with the Company. Cancellation is effective on the date on which written notice is mailed via certified mail, return receipt requested, to the Agent’s last known address or when the Agent receives actual notice of cancellation, whichever occurs first. In the event of such Involuntary Cancellation, the Agent must immediately cease to representing himself/herself as a GWE Agent. The Agent may appeal the termination to the GWE Compliance Department. The Agent’s appeal must be in writing and must be received by the company within fifteen (15) calendar days of the date of GWE's cancellation letter. If GWE does not receive the appeal within the fifteenth day period, the cancellation will be final. The Agent must submit all supporting documentation with his/her appeal correspondence. The written appeal will be reviewed by the Compliance Department. If the Agent files a timely appeal of termination, the Compliance Department will review and reconsider the termination, consider any other appropriate action, and notify the Agent in writing of its decision. This decision of the Compliance Department will be final. An Agent whose Agent Agreement is involuntarily cancelled may reapply to become an Agent twelve (12) calendar months from the date of cancellation. Any such Agent wishing to reapply must submit a letter to the GWE Compliance Department setting forth the reasons why he/she believes GWE should allow him or her to operate an Agent License. It is within GWE’s sole discretion whether to permit such an individual to again operate a GWE business.

12.3 Written Cancellation
An Agent may cancel his/her Agreement with GWE at any time and for any reason by providing written notice to GWE indicating his/her intent to discontinue his/her Agent License. The written notice must include the Agent’s signature, printed name, address, and appropriate identification number. The Agent is not eligible to receive any refund for any license fees.

12.4 Effect of Cancellation
Following an Agent’s voluntary or involuntary cancellation, such former Agent shall have no right, title, claim, or interest to the Sales Team which he/she operated or any bonus and/or commission from the sales generated by the organisation. Following an Agent’s voluntary or involuntary cancellation, the former Agent shall not hold himself or herself out as a GWE Agent, shall not have the right to sell GWE products or services, must remove any GWE sign from public view, and must discontinue using any other materials bearing any GWE logo, trademark, or service mark. An Agent who is voluntarily cancelled will receive commissions only on personal direct sales, only for the last full calendar month prior to his/her cancellation. An Agent whose Agreement is involuntarily cancelled will receive commissions on personal direct sales only for the last full calendar week prior to cancellation, unless monies were withheld by the Company during an investigation period. If an investigation of the Agent’s conduct results in his/her involuntary cancellation, he/she shall not be entitled to recover withheld commissions and bonuses. An Agent who voluntarily cancels his/her Agent License Agreement may become Customer and purchase any GWE products and services through any nominated Agent.

Section 13 – Definitions

Definition of Terms

Active Agent — An Agent who has a paid up yearly license subscription as set forth in the GWE Direct Sales Marketing Plan policies and procedures.
Agent — An individual who has executed an Agent Application and Agreement which has been accepted by GWE. Agents are required to meet certain qualifications and are responsible for the training, motivation, support, and development of the Agents in their respective Sales Team Organisations. Agents are entitled to purchase GWE products at Agent prices, sell to customers, enrol new Agents, and take part in all Company Agent programs.
Agent Agreement — The term Agent Agreement, as used in the Policies and Procedures, refers to the Agent Application and Agreement, GWE’s Policies and Procedures, and the Direct Sales Marketing Plan.
Business Centre — The term “Business Centre” is the Team Sales and is defined in the GWE Direct Sales and Affiliate Marketing Plan.
Financial Intelligence Kit (FIK) — A selection of GWE training materials and business support literature that each new Agent or customer purchases. The FIK is sold to Agents at GWE’s wholesale cost. (Referred to as the Financial Intelligence Kit in these Policies and Procedures.
Cancellation — Termination of an individual’s Agent Agreement. Cancellation may be either voluntary or involuntary.
Involuntary Cancellation — The termination of an Agent Agreement which is initiated by GWE.
Voluntary Cancellation — The termination of an Agent Agreement instituted by the Agent who elects to discontinue his/her affiliation with GWE for any reason.
Commissionable Products — All GWE products on which commissions and bonuses are paid. Business sales aids are not commissionable products.
Company — The term “Company” as it is used throughout these Policies and Procedures, and in all GWE literature, means Global Wealth Education Ltd.
Distributor — See “Agent”.
Team Business Centre — An Agent, Sales Team Business centre consists of all Agents, points assigned to him/her.
End Consumer — A person who purchases GWE products for the purpose of personal use.
Genealogy Report — A report generated by GWE that provides critical data relating to the identities of Agents and sales information of each Agent’s Sales Team Organisation. This report contains proprietary trade secret information. (See Section 3.6.2).
Accumulated Group Sales / Volume — The commissionable volume of GWE products generated by an Agent’s Sales Team Organisation.
Immediate Household — An Agent, his or her spouse or defacto, and dependants.
Sales Team Leader  — an Agent, Affiliate. See “Sales Team” or Agent.
Team / Stage — The layers of Sales Teams / Agents in a particular Team Business Centre. This term refers to the relationship of an Agent relative to a particular sponsor, determined by the number of Agents between them who are related by sponsorship or point per sales allocation.
Official GWE Material — Literature, audio or video tapes, and other materials developed, printed, published, or distributed by GWE.
Personal Sales — The commissionable value of products sold directly by an Agent.
Re-saleable — Goods shall be deemed “re-saleable” if each of the following elements is satisfied:
• Packaging and labelling has not been altered or damaged;
• The product and packaging are in a condition which permits the Company to sell the merchandise at full Agent price;
• Products are returned to GWE within FOURTEEN (14) days from the date of the original order delivery;
• The product contains current GWE labelling; and
• The product is listed in the current GWE price list.
Retail Customer — A person who orders GWE products through a GWE Agent for personal use.
Sponsor — An Agent / Affiliate who enrols a new Agent and is listed as the Sponsor on the Agent Application and Agreement. As the term implies, the Sponsor has a responsibility to assist those he/she brings into the business.
